E-BRANDSHOP TERMS OF PURCHASE
These e-Brandshop Terms of Purchase (“Terms of Purchase”) govern purchases of CUCKOO Products and applicable Services made through the CUCKOO Singapore e-Brandshop (“e-Brandshop”) operated by CUCKOO International (S) Pte. Ltd. (Company Registration No. 201616841Z) (“CUCKOO”, “we”, “us” or “our”).
These Terms of Purchase should be read together with:
- CUCKOO’s General Terms and Conditions for Product(s) (“GTCP”);
- the applicable Specific Terms and Conditions for Product(s) (“STCP”);
- the applicable Order Confirmation;
- applicable Promotion Terms and Conditions, where applicable;
- applicable CUCKOO+ Care Service Package (“CCSP”) / CUCKOO+ Self Care Package (“CCP”) Service Terms, where applicable; and
- CUCKOO’s Terms of Use and Privacy Policy.
By placing an Order through the e-Brandshop, you acknowledge that you have read and agree to these Terms of Purchase and the applicable contractual documents.
- DEFINITIONS
1.1 “e-Brandshop”
“e-Brandshop” means CUCKOO’s online shopping platform accessible through the CUCKOO Singapore website and any related online checkout, ordering and transaction functionality operated by CUCKOO.
1.2 “Product”
“Product” means a CUCKOO product offered for purchase through the e-Brandshop.
1.3 “Service”
“Service” means any service offered for purchase through the e-Brandshop, including CCSP, CCP, filter replacement, maintenance, repair or other CUCKOO services made available from time to time.
1.4 “Order”
“Order” means an order submitted by you through the e-Brandshop to purchase a Product and/or Service.
1.5 “Order Confirmation”
“Order Confirmation” means CUCKOO’s electronic confirmation notifying you that your Order has been accepted, in whole or in part, subject to the applicable terms.
1.6 “GTCP”
“GTCP” means CUCKOO’s General Terms and Conditions for Product(s), as amended from time to time.
1.7 “STCP”
“STCP” means the Specific Terms and Conditions applicable to the relevant Product.
- CONTRACTUAL FRAMEWORK
2.1 Documents forming the purchase agreement
Depending on the transaction, the contractual agreement between you and CUCKOO (“Agreement”) may comprise:
- these Terms of Purchase;
- the applicable GTCP;
- the applicable STCP;
- your Order;
- the Order Confirmation;
- applicable promotion terms;
- applicable CCSP/CCP Service Terms;
- applicable Product manuals, installation requirements and other documents expressly incorporated into the transaction; and
- any other document expressly identified as forming part of the Agreement.
2.2 Relationship with the GTCP and STCP
These Terms of Purchase govern the online ordering and purchasing process.
The GTCP governs the general terms applicable to the Product transaction.
The STCP governs Product-specific terms.
Where you purchase a standalone CCSP, CCP or other Service, the applicable Service Terms govern the Service-specific terms.
2.3 Order of precedence
Subject to mandatory Singapore law, where there is any inconsistency between applicable contractual documents, the following order of precedence applies:
- Order-specific terms expressly confirmed by CUCKOO in the Order Confirmation;
- applicable Promotion Terms and Conditions, but only in relation to the relevant promotion;
- applicable standalone Service Terms, but only in relation to the relevant Service;
- applicable STCP;
- these Terms of Purchase;
- GTCP;
- CUCKOO’s general Terms of Use.
For the avoidance of doubt, a specific Product term in the applicable STCP will prevail over a general provision in the GTCP where they conflict.
- ELIGIBILITY
3.1 You must be at least 18 years old and legally capable of entering into a binding agreement.
3.2 You must provide accurate and complete information required to process your Order.
3.3 You represent that you are authorised to use the payment method selected for your Order.
3.4 Certain Products or Services may have additional eligibility requirements stated in the applicable STCP or Service Terms.
3.5 CUCKOO may conduct reasonable verification necessary to process an Order, prevent fraud, confirm eligibility or fulfil legal or regulatory requirements.
- PRODUCT INFORMATION
4.1 CUCKOO endeavours to ensure that Product information displayed on the e-Brandshop is accurate and current.
4.2 Product images are provided for illustrative purposes. Actual Product colour, finish, dimensions, packaging or appearance may vary.
4.3 Product specifications may change from time to time due to manufacturing, technical, regulatory or other legitimate reasons.
4.4 The applicable STCP should be reviewed together with the Product information displayed on the e-Brandshop before placing an Order.
4.5 Nothing in this clause excludes or limits any statutory consumer right or remedy that cannot lawfully be excluded or limited.
- PRODUCT AVAILABILITY
5.1 Products displayed on the e-Brandshop are subject to availability.
5.2 Adding a Product to a shopping cart does not reserve the Product.
5.3 CUCKOO may limit the quantity of Products that may be purchased in a single Order.
5.4 CUCKOO may decline or cancel an Order where a Product is unavailable, subject to applicable law.
5.5 If CUCKOO is unable to fulfil an accepted Order because the Product has become unavailable, CUCKOO will notify you and arrange the applicable refund where payment has already been made.
- PRODUCT PRICE
6.1 Product prices are stated in Singapore dollars unless otherwise indicated.
6.2 Applicable GST will be charged where required by law.
6.3 Delivery, installation, additional works, accessories, replacement parts or other charges may apply depending on the Product and Order.
6.4 The applicable price will be the price displayed to you at the relevant checkout stage and confirmed in the Order Confirmation, subject to Clause 7.
6.5 Product prices may change at any time before an Order is accepted.
- PRICING, PROMOTIONAL AND TECHNICAL ERRORS
7.1 CUCKOO takes reasonable steps to ensure that Product prices, discounts and promotional information displayed on the e-Brandshop are accurate.
7.2 If a genuine pricing, typographical, technical or system error results in a materially incorrect price or promotion, CUCKOO may take reasonable steps to correct the error.
7.3 If an Order has not yet been accepted, CUCKOO may decline the Order.
7.4 If an Order has already been accepted and CUCKOO discovers a genuine error, CUCKOO may contact you to discuss the available options.
7.5 Where an accepted Order cannot reasonably be fulfilled because of a genuine error, CUCKOO may cancel the affected Order and refund amounts paid, subject to applicable law.
7.6 CUCKOO will not rely on this clause to exclude or restrict any statutory consumer right or remedy.
- ORDER PROCESS
8.1 Product selection
You may select Products and/or Services and add them to your shopping cart.
8.2 Shopping cart
Products placed in the shopping cart are not reserved until the Order is accepted by CUCKOO.
8.3 Checkout
Before submitting an Order, you will have an opportunity to review information including, where applicable:
- Product;
- quantity;
- price;
- discounts;
- promotion;
- GST;
- delivery charges;
- installation charges;
- additional charges;
- applicable Service;
- payment method;
- delivery address; and
- applicable contractual terms.
8.4 Customer responsibility
Before submitting your Order, you are responsible for checking that all Order information is accurate.
8.5 Submission of Order
By submitting an Order, you confirm that:
- the information provided is accurate;
- you have reviewed the Order;
- you are authorised to use the selected payment method; and
- you agree to the applicable contractual documents.
8.6 Order acknowledgement
After you submit an Order, CUCKOO or its authorised service provider may send an electronic acknowledgement confirming receipt of the Order.
An acknowledgement of receipt does not by itself constitute acceptance of your Order unless expressly stated otherwise.
8.7 Order acceptance
A binding contract for the relevant Product and/or Service will be formed when CUCKOO sends an Order Confirmation expressly confirming acceptance of the Order, subject to the applicable contractual documents.
8.8 Partial acceptance
CUCKOO may accept some Products or Services in an Order and decline others where reasonably necessary.
Where this occurs, CUCKOO will notify you of the accepted and declined portions of the Order.
8.9 Order rejection
CUCKOO may decline an Order for legitimate reasons, including:
- Product unavailability;
- pricing or technical errors;
- unsuccessful or unauthorised payment;
- suspected fraud or abuse;
- inability to deliver or install the Product;
- failure to satisfy Product-specific eligibility requirements;
- legal or regulatory requirements; or
- other legitimate operational reasons.
Where payment has already been made for an Order that is declined, CUCKOO will arrange the applicable refund.
- PAYMENT
9.1 Payment must be made using one of the payment methods made available through the e-Brandshop.
9.2 Payment may be processed by CUCKOO or an authorised third-party payment service provider.
9.3 You represent that you have authority to use the selected payment method.
9.4 CUCKOO may decline or suspend an Order where:
- payment fails;
- payment is reversed;
- payment is unauthorised;
- fraud is reasonably suspected; or
- other legitimate payment-related concerns arise.
9.5 Where an Advance Payment is required under the applicable GTCP, STCP or Order, the amount and payment requirements will be stated before or at checkout where reasonably practicable.
9.6 For outright purchases, the payment arrangements under the applicable GTCP/STCP will apply.
9.7 CUCKOO may issue an electronic invoice, receipt or other transaction record.
- DELIVERY
10.1 CUCKOO will arrange delivery in accordance with the applicable Product terms and Order.
10.2 Delivery dates or periods provided through the e-Brandshop are estimates unless expressly confirmed otherwise.
10.3 Delivery is subject to Product availability, delivery location, access conditions and other applicable requirements.
10.4 You are responsible for providing accurate delivery information.
10.5 You must ensure that reasonable access to the delivery location is available.
10.6 Where applicable, additional charges may arise for:
- non-standard delivery requirements;
- special access arrangements;
- failed delivery caused by inaccurate information;
- customer-requested redelivery; or
- other Additional Works or Additional Charges specified in the applicable STCP.
10.7 For Products that do not require installation, CUCKOO may make delivery attempts in accordance with the applicable GTCP/STCP.
10.8 If delivery cannot be completed after the applicable delivery attempts, CUCKOO may cancel the Order and refund payment made, subject to applicable law and the applicable terms.
- INSTALLATION
11.1 Where installation is included with the Product, CUCKOO will arrange standard installation in accordance with the applicable GTCP and STCP.
11.2 Standard installation does not necessarily include electrical, plumbing, carpentry, structural or other works outside CUCKOO’s standard installation scope.
11.3 Additional Works may incur Additional Charges.
11.4 You must obtain any necessary consent from the building owner, landlord or building management where required.
11.5 You or an authorised representative must be present at the delivery/installation location where required
11.6 CUCKOO may require reasonable identity verification at delivery or installation.
11.7 If installation is cancelled, postponed or cannot proceed due to circumstances attributable to you, applicable charges may apply in accordance with the GTCP/STCP.
11.8 CUCKOO may decline installation where the location is unsafe, unsuitable or outside CUCKOO’s service coverage
11.9 Relocation or reinstallation is subject to the applicable GTCP/STCP and may incur additional charges.
- RISK AND OWNERSHIP
12.1 For an outright purchase, ownership of the Product will pass to you in accordance with the applicable GTCP and applicable law.
12.2 Risk of loss or damage will pass in accordance with the applicable GTCP/STCP and applicable law.
12.3 Nothing in these Terms is intended to alter mandatory rules concerning ownership, risk or consumer rights.
- PRODUCT WARRANTY
13.1 Product warranty coverage is governed by the applicable GTCP and STCP.
13.2 The applicable STCP will specify the warranty period and Product-specific warranty exclusions.
13.3 Warranty coverage generally applies to manufacturing defects in materials or workmanship under normal use, subject to the applicable warranty terms.
13.4 To make a warranty claim, you should contact CUCKOO through the applicable customer-service channel.
13.5 CUCKOO may assess the Product and reported issue before determining whether the issue falls within the applicable warranty coverage.
13.6 Where a warranty claim is accepted, CUCKOO may provide the applicable remedy in accordance with the GTCP/STCP.
13.7 Nothing in the warranty provisions excludes, restricts or modifies statutory rights or remedies that cannot lawfully be excluded, restricted or modified.
- CUCKOO+ CARE SERVICE — PURCHASE WITH A PRODUCT
14.1 Where a Product purchase includes a CCSP or CCP benefit, the applicable Service terms will be stated in the Order, promotion or applicable contractual documents.
14.2 The Product warranty remains governed by the applicable GTCP/STCP unless expressly stated otherwise.
14.3 Any additional charges for parts, labour, transport, servicing or other work will be governed by the applicable Service Terms or STCP.
- STANDALONE CCSP / CCP PURCHASES
This Section applies where you purchase CCSP, CCP or another CUCKOO care/service package separately from a new Product purchase.
15.1 Standalone Service
A standalone CCSP/CCP purchase is a purchase of a Service relating to an eligible existing Product.
15.2 Applicable documents
The standalone Service transaction is governed by:
- these Terms of Purchase;
- the applicable CCSP/CCP Service Terms;
- the Order;
- the Order Confirmation; and
- the applicable GTCP/STCP to the extent expressly stated to apply.
15.3 Service eligibility
CUCKOO may determine whether an existing Product is eligible for CCSP/CCP based on applicable criteria, including:
- Product model;
- age of Product;
- serviceability;
- availability of replacement parts;
- service location;
- condition of the Product;
- applicable Product/service policy.
15.4 Service scope
The applicable CCSP/CCP Service Terms will specify the services included in the package.
Services, parts, labour or repairs outside the stated scope may be subject to additional charges.
15.5 Existing Product verification
Before accepting a standalone CCSP/CCP Order, CUCKOO may verify the Product’s:
- model;
- serial number;
- ownership/customer information;
- service history;
- warranty status;
- serviceability.
15.6 CCSP cooling-off / renewal arrangements
Where applicable, the CCSP cooling-off, renewal and expired-filter arrangements stated in the applicable CCSP Service Terms will apply.
15.7 Service approval
Where the applicable CCSP/CCP Service Terms require CUCKOO’s approval, payment or Order submission does not by itself guarantee acceptance.
CUCKOO will notify you if the Service cannot be provided.
15.8 Cancellation and refund
Cancellation and refund of a standalone CCSP/CCP purchase will be governed by the applicable Service Terms and applicable Singapore law.
Where Service has already been provided, the applicable refund may take into account the Service already performed.
- PROMOTIONS, VOUCHERS AND FREE GIFTS
16.1 Promotions may be subject to additional Promotion Terms and Conditions.
16.2 Where specific Promotion Terms and Conditions apply, those terms form part of the relevant Order.
16.3 Promotions may include:
- discounts;
- vouchers;
- free gifts;
- bundles;
- cashback;
- service packages;
- other promotional benefits.
16.4 Promotions may be subject to eligibility, minimum spending, Product exclusions, validity periods, quantity limits and availability.
16.5 Unless otherwise stated, promotions cannot be combined.
16.6 Where a promotion is conditional upon purchasing a Product, cancellation or refund of that Product may affect entitlement to the promotional benefit.
16.7 Where legally permissible and expressly stated in the applicable promotion terms, CUCKOO may deduct the value of promotional benefits already provided when calculating a refund.
16.8 CUCKOO may correct genuine pricing, technical or promotional errors subject to applicable law.
- CANCELLATION AND REFUNDS
17.1 Cancellation rights depend on:
- the Product or Service purchased;
- the applicable GTCP;
- the applicable STCP;
- the applicable Service Terms;
- applicable Promotion Terms; and
- applicable Singapore law.
17.2 CUCKOO does not represent that every Order may be cancelled after acceptance.
17.3 Where cancellation is permitted, the applicable process and charges will be stated in the relevant contractual documents.
17.4 Where CUCKOO cancels an accepted Order for reasons attributable to CUCKOO, CUCKOO will provide the applicable remedy, including a refund where appropriate.
17.5 Where a Product does not conform to applicable contractual or statutory requirements, CUCKOO will provide the applicable remedy required by the relevant terms and Singapore law.
17.6 Nothing in these Terms excludes, restricts or modifies any statutory consumer right or remedy that cannot lawfully be excluded or limited.
17.7 Approved refunds will generally be processed through the original payment method, unless otherwise agreed or required.
17.8 Refund processing times may depend on the relevant payment provider or financial institution.
- CUSTOMER RESPONSIBILITIES
You agree to:
- provide accurate information;
- provide reasonable access for delivery and installation;
- follow applicable Product instructions;
- comply with applicable safety requirements;
- use Products only for their intended purpose;
- notify CUCKOO of material changes to information relevant to your Order;
- cooperate with reasonable verification procedures; and
- pay applicable charges when due.
- ELECTRONIC COMMUNICATIONS AND RECORDS
19.1 CUCKOO may communicate with you electronically regarding your Order, including by:
- email;
- SMS;
- WhatsApp;
- other messaging channels;
- customer account notifications.
19.2 Transactional communications may include:
- Order acknowledgement;
- Order Confirmation;
- invoice;
- payment confirmation;
- delivery notification;
- installation appointment;
- service notification;
- refund notification.
19.3 You agree that electronic records may be used as evidence of the transaction, subject to applicable law.
19.4 You should retain your Order Confirmation and other important transaction records.
- PERSONAL DATA
20.1 Personal data collected in connection with an Order will be processed in accordance with CUCKOO’s Privacy Policy.
20.2 CUCKOO may process personal data necessary to:
- process the Order;
- verify identity;
- process payment;
- arrange delivery;
- arrange installation;
- administer warranty;
- provide Services;
- prevent fraud;
- comply with applicable law.
20.3 Where marketing consent is required, marketing consent will be obtained separately from consent necessary to process the Order.
20.4 You may withdraw marketing consent without affecting CUCKOO’s ability to send necessary transactional communications.
- IDENTIFICATION AND NRIC
21.1 CUCKOO may request identification information where reasonably necessary for an identified purpose permitted by law.
21.2 CUCKOO will not use full or partial NRIC numbers as an authentication mechanism except where permitted or required by law.
21.3 Where identity verification is required at delivery, installation or service, CUCKOO may request appropriate identification documentation.
21.4 CUCKOO will maintain reasonable safeguards for identification information.
- FRAUD AND MISUSE
CUCKOO may investigate, suspend or cancel an Order where there are reasonable grounds to suspect:
- payment fraud;
- unauthorised payment;
- identity fraud;
- misuse of vouchers or promotions;
- abnormal or automated purchasing activity;
- exploitation of technical or pricing errors; or
- other unlawful or abusive activity.
Any action taken under this clause will be subject to applicable law.
- THIRD-PARTY PAYMENT AND SERVICE PROVIDERS
23.1 CUCKOO may use third-party providers for:
- payment processing;
- fraud detection;
- logistics;
- delivery;
- installation;
- customer service;
- technology;
- communications.
23.2 Third-party providers may process information necessary to provide the relevant service.
23.3 Personal data will be handled in accordance with CUCKOO’s Privacy Policy and applicable law.
- EVENTS BEYOND REASONABLE CONTROL
CUCKOO will not be liable for delay or failure caused by circumstances beyond its reasonable control, including:
- natural disasters;
- severe weather;
- fire;
- war;
- civil disturbance;
- government action;
- transportation disruption;
- telecommunications failure;
- major system or cybersecurity incidents;
- supply-chain disruption;
- labour disruption; or
- other circumstances beyond CUCKOO’s reasonable control.
This clause does not exclude or limit any statutory rights or remedies that cannot lawfully be excluded.
- LIMITATION OF LIABILITY
25.1 The liability provisions in the applicable GTCP apply to the Product transaction.
25.2 Any limitation of liability applies only to the extent permitted by Singapore law.
25.3 Nothing in these Terms excludes or limits:
- statutory consumer rights;
- liability that cannot legally be excluded or limited;
- fraud or fraudulent misrepresentation; or
- death or personal injury caused by negligence where such liability cannot lawfully be excluded.
- CHANGES TO THESE TERMS
26.1 CUCKOO may update these Terms of Purchase from time to time.
26.2 The version applicable to your Order will generally be the version presented to you before submission and acceptance of that Order.
26.3 Changes made after an Order has been accepted will not retrospectively alter the accepted transaction unless permitted by the Agreement or applicable law.
- GOVERNING LAW AND JURISDICTION
27.1 These Terms of Purchase are governed by Singapore law.
27.2 Subject to mandatory consumer rights and remedies under applicable law, the courts of Singapore shall have jurisdiction over disputes arising from or in connection with an e-Brandshop transaction.
- SEVERABILITY
If any provision of these Terms is found to be invalid, illegal or unenforceable, it will be modified or severed to the minimum extent necessary and the remaining provisions will continue in effect.
- NO WAIVER
A failure or delay by CUCKOO to exercise a right or remedy does not constitute a waiver of that right or remedy.
