TERMS OF USE

1. INTRODUCTION

   These Terms of Use (“Terms”) govern your access to and use of CUCKOO Singapore’s websites, e-Brandshop and related online platforms (“Site”) operated by CUCKOO International (S) Pte. Ltd. (Company Registration No. 201616841Z) (“CUCKOO”, “we”, “us” or “our”).

   By accessing or using the Site, you agree to be bound by these Terms.

   If you do not agree to these Terms, you must not use or access the Site.

2. DEFINITIONS

   “Content” means information and materials made available through the Site, including text, photographs, images, graphics, videos, audio, product descriptions, trademarks, logos, software and other materials.

   “Product” means CUCKOO products offered or displayed through the Site.

   “Service” means services offered by CUCKOO through the Site.

   “Site” means CUCKOO’s website, e-Brandshop and related online platforms, including www.cuckoo.sg and www.ebrandshop.cuckoo.sg.

3. ELIGIBILITY
   • 3.1You must have the legal capacity to enter into a binding agreement under applicable law.
   • 3.2If you are below 18 years of age, you may use the Site only with the involvement and consent of your parent or legal guardian where required by law.
   • 3.3Particular Products or Services may have additional eligibility requirements.
4. ACCEPTABLE USE

   You must not use the Site:

   1. for any unlawful or fraudulent purpose;
   2. to impersonate another person;
   3. to provide false or misleading information;
   4. to interfere with the security or operation of the Site;
   5. to introduce viruses, malware or malicious code;
   6. to gain unauthorised access to any system or account;
   7. to scrape, harvest or collect information through automated means without CUCKOO’s consent;
   8. to infringe intellectual-property, privacy or other rights;
   9. to transmit unsolicited commercial communications; or
   10. in any manner prohibited by applicable law.
5. ACCOUNTS
   • 5.1Certain Site functions may require an account.
   • 5.2You must provide accurate and current information.
   • 5.3You are responsible for maintaining the confidentiality of your login credentials.
   • 5.4You must notify CUCKOO promptly if you suspect unauthorised access.
   • 5.5CUCKOO may suspend an account where reasonably necessary for security, fraud prevention, legal compliance or breach of these Terms.
6. PRODUCT INFORMATION
   • 6.1CUCKOO endeavours to ensure that information displayed on the Site is accurate and current.
   • 6.2Product images, colours and representations may vary from the actual Product.
   • 6.3Product specifications may change due to manufacturing, technical, regulatory or other legitimate reasons.
   • 6.4Product purchases are governed by the applicable e-Brandshop Terms of Purchase, GTCP, STCP and other applicable transaction terms.
7. ONLINE TRANSACTIONS
   • 7.1Products and Services displayed on the Site may be subject to availability.
   • 7.2Purchases made through the e-Brandshop are governed by the applicable e-Brandshop Terms of Purchase.
   • 7.3The display of a Product or Service does not necessarily constitute acceptance of an Order.
   • 7.4The applicable purchase contract will be formed in accordance with the contract-formation mechanism stated in the e-Brandshop Terms of Purchase and Order Confirmation.
8. INTELLECTUAL PROPERTY
   • 8.1Unless otherwise stated, intellectual-property rights in the Site and Content belong to CUCKOO, its related entities or licensors.
   • 8.2You may access and use the Site for personal and non-commercial purposes.
   • 8.3You must not reproduce, distribute, modify, commercially exploit or create derivative works from CUCKOO Content without prior written consent, except where permitted by law.
9. USER CONTENT

   Where CUCKOO allows reviews, photographs, videos, comments or other User Content to be submitted, you remain responsible for the material submitted.

   You must not submit material that is unlawful, defamatory, misleading, infringing, abusive or otherwise prohibited by applicable law.

   Where you submit User Content, you grant CUCKOO a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish and display that content for legitimate business, operational and promotional purposes, subject to applicable law.

10. THIRD-PARTY WEBSITES AND SERVICES

    The Site may contain links to third-party websites and services.

    Third-party websites are governed by their own terms and privacy policies.

    CUCKOO is not responsible for third-party content or practices except to the extent required by law.

11. SITE AVAILABILITY

    CUCKOO may modify, suspend or discontinue any part of the Site.

    The Site may occasionally be unavailable because of maintenance, upgrades, technical failures, cybersecurity incidents or circumstances beyond CUCKOO’s reasonable control.

12. DISCLAIMERS

    To the maximum extent permitted by law, CUCKOO does not guarantee that the Site will always be uninterrupted, error-free, completely accurate or free from security vulnerabilities.

    Nothing in these Terms excludes, restricts or modifies any statutory right, warranty, condition or remedy that cannot lawfully be excluded, restricted or modified.

13. LIMITATION OF LIABILITY

    To the maximum extent permitted by law, CUCKOO will not be liable for indirect, incidental, special or consequential losses arising from your use of the Site.

    Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including applicable statutory consumer rights and remedies.

14. INDEMNITY

    To the extent permitted by law, you agree to indemnify CUCKOO against reasonable losses, liabilities, claims and costs arising from:

    1. your material breach of these Terms;
    2. unlawful or fraudulent use of the Site;
    3. infringement of third-party rights; or
    4. unlawful User Content submitted by you.

    This does not apply to losses caused by CUCKOO’s own negligence, wilful misconduct or breach of applicable law.

15. PRIVACY

    CUCKOO’s collection, use, disclosure and protection of personal data is governed by CUCKOO’s Privacy Policy.

16. ELECTRONIC COMMUNICATIONS

    You agree that CUCKOO may communicate electronically with you regarding your account, Orders, Products, Services and other transactions.

    Electronic records and communications may be used as evidence of transactions, subject to applicable law.

17. CHANGES TO THESE TERMS

    CUCKOO may update these Terms from time to time.

    The updated version will be published on the Site with the applicable effective date.

    Where a change materially affects your rights or obligations, CUCKOO will provide such additional notice as may reasonably be appropriate.

    Changes will not retrospectively alter an accepted purchase contract unless permitted by the applicable contract or law.

18. GOVERNING LAW

    These Terms are governed by Singapore law.

    Subject to mandatory consumer rights, the courts of Singapore shall have jurisdiction over disputes arising from these Terms.

19. SEVERABILITY

    If any provision is invalid or unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will remain effective.
